Amendment #2 (Rev. 1) to Agreement for Design/Build Services at Cocoa High School

Discussion

The purpose of this Agenda Item is to close the Agreement for Design-Build Services with The Williams Company for the Additions and Renovations project at Cocoa High School.

The Williams Company was approved as the Design-Builder for the Additions and Renovations project at Cocoa High School on August 12, 2008 for a Guaranteed Maximum Price (GMP) of $4,530,000.  Previously approved Amendment #1  increased the GMP to $7,030,000.  Amendment #2 (Rev. 1) is a decrease to the GMP in the amount of <$1,470,481> to deduct Owner Direct Purchases, unused Sales Tax Savings, unused Contingency, unused General Requirements, an Audit Adjustment and an HVAC Controls Adjustment

The Independent Accountant's Report prepared by Carr, Riggs & Ingram dated January 12, 2010 is consistent with the GMP prior to the HVAC Controls Adjustment.  

The decrease of the GMP contained in this Amendment consists of two elements:

  1. A deduction of the value of the Owner Direct Purchases (ODP) in the amount of <$1,326,673.16>.  This is an administrative change only -- the School Board will not receive a credit for this deduction since the value of the ODPs was previously deducted from the Purchase Order to The Williams Company.
  2. A deduction for unused Sales Tax Savings, unused Contingency, unused General Requirements, an Audit Adjustment and an HVAC Controls Adjustment in the amount of <$143,807.84>.  The School Board will receive a credit for this deduction. 

Remaining funds in the project will be used to address existing Building Code and Fire Prevention Code deficiencies in portions of the Cocoa High School campus not included in the original scope of this project.   

Note:  Subsequent to the Information Agenda Item on 2/23/10, the GMP was reduced by <12,082.00> to reflect the amount disallowed by the School District for HVAC Control costs (agreed to by the Design/Builder).

Recommendation
Approve Amendment #2 (Rev. 1) to modify the Agreement for Design-Build Services with The Williams Company for the Additions and Renovations project at Cocoa High School to decrease the Guaranteed Maximum Price in the amount of <$1,470,481.00> to $5,559,519.00.  Accept the Agreement as complete and authorize the release of all remaining retention to The Williams Company.
