Amendment #1 to Agreement for Design/Build Services at Merritt Island High School

Discussion

The purpose of this Agenda Item is to close the Agreement for Design-Build Services with Peter R. Brown, Inc. for the Additions and Renovations project at Merritt Island High School.

Peter R. Brown, Inc. was approved as the Design-Builder for the Additions and Renovations project at Cocoa Beach Jr/Sr High School on February 13, 2007 for a Guaranteed Maximum Price (GMP) of $28,400,000.  Amendment #1 is a decrease to the GMP in the amount of <$5,625,046.95> to deduct Owner Direct Purchases, Unused Contingency and Unused Sales Tax Savings.   

The final GMP contained in this Amendment is consistent with the Independent Accountant's Report prepared by Carr, Riggs & Ingram dated February 8, 2010.

The decrease of the GMP contained in this Amendment consists of two elements:

  1. A deduction of the value of the Owner Direct Purchases (ODP) in the amount of <$5,001,231.29>.  This is an administrative change only -- the School Board will not receive a credit for this deduction since the value of the ODPs was previously deducted from the Purchase Order to Peter R. Brown, Inc.
  2. A deduction for Unused Contingency and Unused Sales Tax Savings in the amount of <$623,815.66>.  The School Board will receive a credit for this deduction. 

Remaining funds in the project will be used to perform additional work at Merritt Island High School in the following priority:

  1. Safety / Code Deficiencies
  2. Deferred Maintenance Items
  3. Energy Conservation Projects

Upon completion of the additional work listed above, any remaining funds will, upon Board approval, be transfered to another project within the Certificate of Participation (COP) or used to pay debt on the COP.

A time extension of 109 days is required to accommodate Owner-directed additions to the Scope of Work.

Recommendation
Approve Amendment No. 1 to modify the Agreement for Design-Build Services with Peter R. Brown, Inc. for the Additions and Renovations project at Merritt Island High School to decrease the Guaranteed Maximum Price in the amount of <$5,625,046.95> to $22,774,953.05 and extend the Date of Substantial Completion from February 27, 2009 to June 16, 2009.  Accept the Agreement as complete and authorize the release of all remaining retention to Peter R. Brown, Inc.
